Welcome to ApexDrift AS ("ApexDrift", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our website, services, and products. ApexDrift provides retail inventory forecasting solutions, including but not limited to:

• Demand forecasting and analysis services
• Inventory optimisation consultancy
• Automated replenishment solutions
• Analytics and reporting tools

3. User Obligations

When using our services, you agree to:

• Maintain the confidentiality of any login credentials
• Use our services only for lawful purposes

4. Service Availability

All content, software, technology, and materials provided by ApexDrift, including but not limited to text, graphics, logos, software code, algorithms, and methodologies, are the exclusive property of ApexDrift or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.

6. Data Protection and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

7. Payment Terms

If you purchase services from ApexDrift:

• Fees are due according to the payment schedule specified in your service agreement
• All fees are non-refundable unless otherwise specified in writing
• You are responsible for all applicable taxes
• Late payments may result in service suspension
• We reserve the right to modify our fees with 30 days' notice

8. Limitation of Liability

To the maximum extent permitted by law, ApexDrift shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorised access to or use of our servers and/or personal information
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, trojan horses, or similar that may be transmitted through our services
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content

Our total liability to you for all claims arising from or relating to these Terms or our services shall not exceed the amount you have paid to ApexDrift in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless ApexDrift and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our services or your violation of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Denmark.

11. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination:

• Your right to use our services will cease immediately
• We may delete your account and all associated data
• You remain liable for all charges incurred prior to termination
• Provisions that by their nature should survive termination will survive

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be replaced with a valid provision that most closely matches the intent of the original provision.

14. Entire Agreement

These Terms, together with our Privacy Policy and any service-specific terms, constitute the entire agreement between you and ApexDrift regarding your use of our services and supersede all prior agreements and understandings.
